Propartners, a licensed crowdfunding intermediary and platform in Ghana, is set to launch the first tranche of its corporate debt note programme on October 1. The GHS 2.4 million campaign will raise capital from investors to finance two Ghanaian SMEs.
In a press statement shared with Ghana Innovation Journal, Propartners said the launch will be marked by a special bell-ringing ceremony in Accra. The event will bring together investors, regulators, financial institutions, business leaders and SME stakeholders.
The transaction represents the first tranche under Propartners’ Impact Note 1 programme, a medium-term note programme. It is structured through PCS PLC, a Special Purpose Vehicle established to raise capital from eligible investors and deploy the proceeds into selected Ghanaian SMEs.
The proceeds of the fundraising will be used to finance Volta Greens Limited and Yes Chef Company Limited. Propartners said both companies underwent assessments of their operations, financial capacity, repayment ability, management, governance and credit risk before being selected.
The structure gives investors exposure to SME financing through three-year unsecured floating-rate notes linked to the 365-day Bank of Ghana Treasury Bill rate.
Senior Noteholders will receive a margin of 350 basis points, while other Noteholders will receive a 700 basis point margin. Interest will be paid semi-annually, with the principal scheduled for bullet repayment at maturity.
The campaign will run from October 1 to November 30, with eligible retail and institutional investors able to review the offer and participate through the Propartners crowdfunding platform.
Four financial institutions are supporting the transaction, with each responsible for a different part of the financing process. Propartners Exchange is leading the transaction as the crowdfunding intermediary, responsible for originating, structuring and facilitating the campaign. First National Bank Ghana is serving as the note trustee, representing Noteholders, while Zenith Bank Ghana is providing custody and escrow services. Fincap Securities is the transaction adviser, supporting the structuring and execution of the programme.
Propartners sees the transaction as part of a broader effort to develop investment crowdfunding in Ghana and create a more structured connection between investors and businesses seeking growth capital.
“Impact Note 1 represents an important step in our mission to make private capital more accessible to productive businesses while creating structured investment opportunities for retail and institutional investors,” said Wisdom Anku, CEO of Propartners.
“We believe the future of finance will be increasingly digital, inclusive and structured. Our responsibility is to build the infrastructure, governance and investor confidence required to make that future work,” he added.
The October 1 bell-ringing ceremony will formally open the campaign. Beyond marking the start of the offer, Propartners says the event will showcase the role of regulated crowdfunding in mobilising private capital for productive economic activity.
The launch comes as Ghana’s financing ecosystem continues to expand beyond traditional channels. For SMEs, the model offers another route to growth capital. For investors, it introduces access to structured private-sector financing through a regulated digital platform.
Impact Note 1 Tranche 1 therefore puts Propartners’ crowdfunding model into practice, combining a digital investment platform, a structured note programme and an SPV to connect investor capital with Ghanaian businesses.
The campaign will be available through Propartners54.com from October 1, subject to investor eligibility, onboarding and subscription requirements.
